By accessing and using the Nxcar CRM system operated by Nxfin Technologies Pvt. Ltd. ("Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use the system.

2. Definitions

• "System" or "Service": Refers to the Nxcar CRM platform and all its features, functionalities, and services
• "User" or "You": Refers to any individual or entity that accesses or uses the system
• "Account": Refers to your user account created to access the system
• "Content": Refers to all data, information, files, and materials uploaded or entered into the system
• "Company Data": Refers to all business-related information, including leads, customers, transactions, and documents

3. Account Registration and Security

3.1 Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access or security breach
• Each user account is personal and non-transferable

3.2 Security Obligations

• You must use strong passwords and change them regularly
• You must not share your account credentials with anyone
• You are responsible for all activities that occur under your account
• You must log out after each session, especially on shared devices

4. Acceptable Use Policy

You may use the system only for lawful business purposes and in accordance with these Terms. You agree to:

• Attempt to reverse engineer, decompile, or disassemble the system
• Use automated systems (bots, scrapers) to access the system without authorization
• Share, sell, or transfer your account to another party
• Use the system for any illegal or fraudulent activities
• Upload or transmit content that is defamatory, obscene, or violates any rights
• Collect or harvest information about other users

5. Intellectual Property Rights

5.1 Company Ownership

The Nxcar CRM system, including its software, design, features, and content, is the exclusive property of Nxfin Technologies Pvt. Ltd. and is protected by copyright, trademark, and other intellectual property laws.

5.2 User Content

You retain ownership of the content you upload to the system. However, by uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content to provide and improve our services.

5.3 Restrictions

• You may not copy, modify, distribute, or create derivative works of the system
• You may not remove or alter any proprietary notices or labels
• You may not use our trademarks or logos without prior written consent

6. Data Protection and Privacy

Your use of the system is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your data and comply with applicable data protection laws, including:

• Information Technology Act, 2000 (India)
• Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011

9. Limitation of Liability

THE SYSTEM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or system failures
• Unauthorized access to or use of your account
• Errors or omissions in the system content

Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Nxfin Technologies Pvt. Ltd., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the system
• Your violation of these Terms and Conditions
• Your violation of any rights of another party
• Your content or data uploaded to the system

11. Termination

11.1 Termination by You

You may stop using the system at any time. To close your account, please contact your system administrator.

11.2 Termination by Us

We may suspend or terminate your access to the system immediately, without prior notice, if:

• You violate these Terms and Conditions
• You engage in fraudulent or illegal activities
• You breach security protocols or attempt unauthorized access
• Required by law or regulatory authority
• Your account is inactive for an extended period

11.3 Effect of Termination

Upon termination:

• Your right to access and use the system will immediately cease

• You remain responsible for any obligations incurred before termination

12. Dispute Resolution

• Users must not share credentials or leave sessions unattended

• Access is granted based on role-based access control (RBAC)
• Users may only access data and features assigned to their role
• Unauthorized access attempts are logged and may result in account suspension
• Administrators must approve access requests for sensitive data

13.3 Data Handling

• All data must be handled in accordance with company data classification policies
• Sensitive data must not be downloaded or shared without authorization

14. Company Policies

• Users must report any violations or unethical behavior

15. Modifications to Terms

Your continued use of the system after such modifications constitutes acceptance of the updated terms.

16. Severability
